Membership
Poughkeepsie Day School is governed by a Board of Trustees, which consists of no more than twenty-five members, fifteen of whom must be parents of children currently enrolled in the school, and no more than ten of whom can be community trustees-usually former parents, former students or other persons who have had close connections with the school. All board members are members of the corporation of the school. The term of office for trustees is three years.

School bylaws also allow for an unlimited number of emeritus trustees. Emeritus trustees have the right
to attend and participate in board meetings and other board activities, but do not have the power to vote. Currently there are two trustees with this designation.

Parent and community trustees are nominated by the Committee on Trustees. Parent trustees are elected by written ballot cast by those eligible to vote and attending the annual meeting of the members of the corporation. They are chosen by a plurality of the votes cast at the annual meeting. Community trustees are elected by the Board of Trustees during a regularly scheduled board meeting.

Officers
The board is directed by the following officers: a president, one or more vice-presidents, a secretary and a treasurer. Each is elected by the Board of Trustees, upon recommendation by the Committee on Trustees, at a regular meeting following the annual meeting of the members in June. Each serves for one year and until successors are chosen.

Committees
There are three committees specified by the bylaws of the corporation. These include the:

Executive Committee: This committee consists of the duly elected officers of the board and one or more members of the board who may be elected by a majority vote of the board.

Committee on Trustees: This committee consists of six members, including the president of the board, who serves as an ex officio member. Two members of the committee are elected by the board. Three members are elected by members of the corporation at the annual meeting. Members of the committee serve three-year terms and are not eligible for immediate re-election. The director typically meets with the Committee.

Tuition Reduction Committee: This committee includes the president of the board or his designee; two other board members, the director and appropriate staff members designated by the director.

In addition there are standing board committees composed of trustees and other members of the PDS community. In 2006-2007, these included: buildings and grounds, education, development, diversity, enrollment marketing and finance.
